These Terms of Service (“Terms”, “Terms of Service”) govern your use of our mobile application Lino operated by Palm Legacy Inc.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound of them.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at care@lino.club so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.

The present application offers registered users in the Lino platform, through its mobile application Access, to tip the DJ at the venue where he/she is playing, allowing the user to request as many times as he/she wants for the song (s) he/she wants to hear, providing an easy and fun way to interact, by opening an effective channel of communication with the DJ.

Prior to the use of the application, the DJ must download the application thru the Google play/Apple Store, Accept the Conditions without any reservation, and then registering, by creating a personal account.

Access to the different options available in the application are strictly restricted to unreserved acceptance at the time of registration, and to the DJ 's compliance with the Terms at all times.

The use of the application is authorized in a personal and private capacity.

The present document of conditions of use has the validity of a contract between the parties, for which it has a binding nature between each DJ, without excluding the reason or reason that led to the download of the application and its subsequent use.

By clicking on the "Accept" button regardless of whether it is permanently or on a trial basis, you indicate that you have read this agreement, that you understand it and that you consent to be bound by all its terms and conditions, and that it is older than eighteen (18) years. This contract establishes your rights and obligations with respect to your use of it or the services provided by PALM LEGACY INC, through the Lino application, as well as the use and access to any additional service that may be provided by the Lino application, Which includes, but is not limited to, any use and updating of the application; All DJs must provide the required information at the time of downloading the Lino application. If at the time of reading this agreement you do not agree, or do not accept the terms of the present, you should interrupt the registration process at this time and do not click "I accept".

The Lino application in its operation consists of several services or pages controlled by third parties, which are made available to you subject to the full acceptance of the terms, conditions and notices contained in this contract or any third parties may require The provision of the service. The use of the Lino application constitutes acceptance by you of such terms, conditions and notices.

Taking into account that the DJ of the " Lino " application could eventually use third party services and trademarks, the third party must also accept and comply with the terms and conditions published herein, the Terms and Conditions of use and other regulations of the provider. Library of music contracted by the Establishment; The Establishment agrees to be solely responsible for the terms and limitations regarding the use of third-party applications.

Access to the Lino application requires the previous download and installation of the application on a device compatible with the same, additionally requires a stable internet connection. In no event PALM LEGACY INC., is responsible for failures or problems of any kind attributable to services provided by third parties.

In the event that any of the terms, conditions or notices in this document conflict with the Additional Terms or other terms, the terms of this agreement shall prevail.

This contract is governed by the United States law. Through this document, the DJ irrevocably submits to the jurisdiction and exclusive competence of the United States judges, in any conflict that may arise from the use of the mobile application of PALM LEGACY INC, or is related with the same. The DJ agrees that there is no relationship of strategic alliance, association, employment or commission between PALM LEGACY INC, and the Establishment as a result of this contract or the use of the application and the websites of PALM LEGACY INC, The Establishment agrees to exempt from Liability to PALM LEGACY INC, and its employees, in the event of a claim, claim or damages, including attorneys' fees claimed by a third party, because of the use of the Lino application. PALM LEGACY INC reserves the right to disclose personal data in accordance with its privacy policy and the processing of personal data, which can be found at http://www.lino.club/privacy-policy/.

No part of the content of this agreement supersedes PALM LEGACY INC 'obligation to comply with any requests or requirements in connection with the Establishment 's use of the Lino application and PALM LEGACY INC web services or the information provided or compiled by PALM LEGACY INC, in respect of such use, if it is determined that any part of this contract is not valid or enforceable in accordance with applicable law shall be replaced by a valid and enforceable provision that matches, as far as possible, the intention of the Original provision, while the rest of the contract will remain in force.

The mobile application offers an easy and fun way to request the music the USER would like to listen to. The Lino APP is FREE to download for both the DJ and the USER. Users are able to request a desired song and send a desired tip through our payment platform (STRIPE), the DJ can accept or deny such request, and then play the such request manually at his DJ Console or not.

PALM LEGACY INC., will NOT pay the establishment any royalty of the revenue paid by the clients through the Lino application on a any given night at the subject venue.

It is important to mention that DJs work by mixing music, so that there are not dead points between one song and the other, therefore a song might be considered as successfully played if the DJ left the song 70% or more of the length of the subject request; played on the DJs console.

It is important to mention that the LINO App does not hold any musical recordings, does not stream, does not download or upload any content of any kind, and does not reproduce or play any music of its own. The LINO App is merely a communication channel between the DJ and the patron at the venue. The DJ may choose, at their sole discretion, to play a song request based on their tip or deny it - but any music that gets played and any venue in which it is played is not the responsibility of the app.

STATES, TIMERS & COMMON TERMS:

TIME OUT: When the timer reaches zero and the request was never accepted, or when it was accepted and the DJ did not have enough time to play the request.

REQUEST: A request made by the USER.

PLAYING SOON: A request made by the USER that alerts both the DJ and the User regarding a request that is about will play within 20 minutes.

PLAYING NOW: A request that is about to play manually in the DJ console.

PLAYED: A request that was successfully played by the DJ,

CREDIT: In the given scenario that a User TIP for a subject request and such request was not able to be played by the DJ, The user will have a credit to be used freely towards another request of his/her choice.

RANKING: Right after the subject request is moved internally by the system into the PLAYED State, a Ranking pop up will appear on the USERS app, for them to Rank the DJ at their discretion, such grade will remain attach to the DJs profile and will add up to represent its performance with the public that is engaging with him/her through the Lino App. Such ranking made by the User is between zero to five starts. Such ranking will be displayed at the PLAYED State of the DJ app.

PLAYING SOON TIMER:Whenever there is a request there is a visible 20:00 min counter timer set, on both the DJ app and the User App, to alert them of the subject request.

PLAYING NOW TIMER: Internal/invisible counter timer of 3:00 starts on both, the User app and the DJ app. When such timer reaches 0, the system automatically moves the song into the PLAYED state of both the USER App and the DJ app to alert the client that the requested was successfully manually played by the DJ.

TIP: A Monetary compensation made by the user requesting to the DJ/Host at his/her own discretion.

SHOUT OUT: The user has a box to type 160 characters in order to request a Note or a message that can be spoken in public at the time its received , by the DJ/Host. Obscene words, Bullying or bad words will not be spoken by the DJ.

MOST POPULAR SECTION: This section where the USER may select a request.

EVENT: Screen where all the requests are being made in real time.

CLOSE EVENT: A DJ may close the event whenever he/she feels is done for the night. If the DJ doesn't close the event , an automatic feature within the system will close it automatically 24 Hours after being open. The stats of such event will be available at the convenience of the DJ at the History tab within the Menu of the DJ app.

ACH TRANSFER: The money collected at the event will be automatically transferred when the event is successfully closed, and is sent to the DJs bank account, minus the fees of the platform [31]. If the DJ has not registered their bank account information they can do so at the Withdraw tab within the Menu of the DJ app.

a) The DJ is solely responsible for any message, content or information published by him; PALM LEGACY INC will only be considered as a provider of mobile application services and Apps and can not be held responsible for the contents published through the Lino application, insofar as PALM LEGACY INC does not control or supervise the use of the application by the Establishment.

b) Should the establishment continue to pay the license fee to local collecting societies for reproduction?

Yes. Composers and musicians charge for the music they play at their place of work through their collective management societies such as (ASCAP, BMI & CESAC). The establishment must pay the fees, when you play music in your business, regardless of whether you play music through a DJ, a radio, a CD player or an online streaming service. We only offer the right to use our technology platform and enjoy its interactive and communication benefits between the DJ and what people want to hear.

c) Responsabilities:

- Not to constitute a violation of the intellectual property rights of third parties; Therefore, the DJ undertakes not to publish through the Lino application contents protected by copyright laws, trademarks, or in general any content protected by any intellectual property rights of third parties without the prior consent of the holder (s) of said rights,

- It does not contain any computer virus that can interrupt, destroy or affect the functions of the Lino application;

- Do not support the commission of crimes, nor contain illegal or threatening messages or of a pedophile, pornographic, defamatory, obscene, hateful, racist, anti-Semitic, xenophobic or any other nature that is contrary to public order and morality;

- Do not violate the right to privacy or be disrespectful of the dignity of others;

- Not to foment violence, fanaticism, crime, suicide, hatred for reasons of religious creed, race, gender, sexual preferences or ethnic origin;

- Do not harass other users;

- Do not promote or encourage any type of criminal activity or organization;

- Do not request and / or communicate passwords and / or personal information for illegal or commercial purposes;

- Do not send unsolicited bulk email and / or email;

- Not to include advertisements or advertising with the aim of selling products and / or services through the Site;

- Do not contain addresses or Internet links to external websites whose content violates any law or regulation in force, infringes the rights of third parties or breaches these Terms of Use.

- Do not use the application for any activity that is or may be in conflict with the laws of the United States of America and other countries that involve the use and operation of the Lino application.

- Will not remove any copyright notice, Trademarks, logos or other proprietary rights of PALM LEGACY INC, or the Lino application.

d) The DJ shall be solely responsible for the preservation and confidentiality of his password and undertakes not to communicate it under any circumstances to any other DJ, and not to use the account, name or password of any other DJ.

The DJ certifies that the information provided to PALM LEGACY INC for its registration is accurate and, it agrees to notify any modification.

e) The DJ acknowledges the right of PALM LEGACY INC., to withdraw the services of the Lino application and / or to block its access to it in case PALM LEGACY INC., detects the violation of this document or in general the rights of third parties.

f) In the event that the DJ violates the law or infringes the rights of third parties, PALM LEGACY INC has the right to provide, at the request of any legitimate authority (courts, administrative authorities and police forces), any information that allows or facilitates the identification of the offender.

g) The DJ assumes the sole and total responsibility of maintaining the confidentiality of his password and all activities that take place in his account. If you believe that someone has accessed using your username and password without your authorization, it is your responsibility to register a new password.

h) The DJ is obliged to read these conditions of use, being this a necessary condition at the moment of using our service.

i) The DJ must consult with the venue the right to expose the Lino APP as a complementary tool to get some extra revenue, as well as having the people fully entertained by granting them protagonism by setting the tone of the night; all done trough the app, effectively. He/She may also mention that the app may build up customer loyalty at the Club/Disco by offering an innovative tool. The material given to the DJ as tools to exposure, are available to the DJ and DJ only.

j)PALM LEGACY INC reserves the right to revoke the account of any DJ for low ranking performance, for any or no reason at all, at any time.

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing care@lino.club .

If you wish to TIP any product or service made available through Service (“TIP”), you may be asked to supply certain information relevant to your TIP including, without limitation, your credit card number, the expiration date of your credit card, and your billing address.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through Service may be governed by rules that are separate from these Terms of Service. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Service, Promotion rules will apply.

Palm Legacy Inc, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Palm Legacy Inc will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

We issue refunds for Contracts within fourteen (14) days of the original purchase of the Contract.

Content found on or through this Service are the property of Palm Legacy Inc or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.

You may use Service only for lawful purposes and in accordance with Terms. You agree not to use Service:

(a) In any way that violates any applicable national or international law or regulation.

(b) For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.

(c) To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation.

(d) To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.

(e) In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

(f) To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.

Additionally, you agree not to:

(a) Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.

(b) Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.

(c) Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent.

(d) Use any device, software, or routine that interferes with the proper working of Service.

(e) Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

(f) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.

(g) Attack Service via a denial-of-service attack or a distributed denial-of-service attack.

(h) Take any action that may damage or falsify Company rating.

(i) Otherwise attempt to interfere with the proper working of Service.

b) It is expressly agreed to release PALM LEGACY INC from any liability for fraudulent exploitation that could occur without your knowledge or in a way that constitutes a violation of the terms and Conditions.

We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.

If you wish to terminate your account, you may simply discontinue using Service.

All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. As a B2-C (Business to Community) Model with residuals to the DJ Community, PALM LEGACY INC will Split its revenue as follows:

80 % to the DJ

20 % to the App, for maintenance, growth and to pay for merchant charges and processing fees.

• To avoid charge backs and issues with users, PALM LEGACY INC may retain each transaction for seven (7) calendar days.

• Each ACH direct deposit to the DJ account will have a $ .50 cents transaction fee to STRIPE (Merchant) paid by the DJ.

PALM LEGACY INC reserves the right to modify the terms and conditions at its discretion.

PALM LEGACY INC., will inform the DJ Subscribed, by e-mail at the address provided by the latter at the time of downloading the Lino application, of any modification of the Conditions with at least 15 (fifteen) days in advance. In case the DJ Subscribed does not accept such modifications, it must cease the immediate use of the Lino application, otherwise it will be understood that the new conditions have been accepted.
